These Terms of Service ("Terms") govern access to and use of the Shamim CPA website, client portal, online forms, scheduling features, and related website services (collectively, the "Website").
1. Acceptance and eligibility
By using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website. You represent that you are at least 18 years old and legally capable of agreeing to these Terms, or that you are acting with authority for a business or other client.
2. Accounts and responsible portal use
You must provide accurate, current information, keep your credentials confidential, and promptly update account details when they change. You are responsible for activity under your account unless prohibited by law. Notify us promptly if you suspect unauthorized use.
You may not probe, disrupt, overload, bypass access controls, upload malicious or unlawful material, impersonate another person, use another person's records without authority, scrape restricted areas, or attempt unauthorized access to any account, document, system, or data. We may restrict or suspend access to protect clients, the practice, or the Website.
3. Professional relationship and engagement controls
Creating an account, submitting a form, uploading a document, booking a consultation, or receiving a preliminary response does not by itself establish a CPA-client relationship. A professional engagement begins only after Shamim CPA accepts the matter and the parties complete any required engagement letter, identity checks, conflict review, payment arrangement, and other onboarding requirements.
An engagement letter controls the scope, responsibilities, fees, deadlines, deliverables, record retention, and termination terms for professional services. If these Terms conflict with a signed engagement letter about those services, the engagement letter controls for that issue.
4. Website content and automated tools
Website articles, FAQs, checklists, estimates, calculators, OCR results, extracted document fields, and automated or AI-assisted outputs are general resources or workflow aids. They may be incomplete, outdated, or inaccurate and are not a professional opinion, tax position, audit conclusion, legal advice, or a substitute for review of your complete facts.
Do not rely on an automated extraction or calculation as final. You are responsible for reviewing information you submit and notifying us of errors. Advice for a specific matter is provided only within an accepted engagement.
5. Intellectual property
Unless otherwise stated, the Website's text, design, graphics, logos, templates, and original resources are owned by or licensed to Shamim CPA and protected by applicable law. You may use public material for personal, noncommercial reference. You may not reproduce, sell, publish, modify, frame, or distribute it for commercial use without written permission. Rights in client-supplied documents remain with their lawful owners.
6. Consultations, fees, and refunds
Appointment availability is not guaranteed until confirmed. Please provide accurate scheduling information and follow the cancellation or rescheduling terms shown at booking. Fees, deposits, billing, expenses, and refunds for professional services are governed by the applicable booking terms or signed engagement letter. Website use alone does not obligate Shamim CPA to accept or perform an engagement.
7. Availability, third parties, and termination
We may maintain, change, suspend, or discontinue Website features. We do not promise uninterrupted or error-free availability. Links, sign-in providers, email delivery, payment tools, hosting, and other third-party services are governed by their own terms and practices, and we are not responsible for their independent content or availability.
We may suspend or terminate access for a violation of these Terms, suspected fraud or security risk, legal or professional obligations, nonpayment under an engagement, or conduct that could harm another person or the service. Provisions that by their nature should survive termination will remain in effect.
8. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Website is provided on an "as available" basis without warranties regarding uninterrupted operation, completeness, accuracy, or fitness for a particular purpose. Nothing in these Terms excludes a warranty or responsibility that cannot lawfully be excluded.
To the maximum extent permitted by law, Shamim CPA will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from Website use, inability to use the Website, third-party services, or reliance on general or automated Website content. Liability for an accepted professional engagement is governed by the applicable engagement letter and law.
9. Governing terms and severability
These Terms are governed by the laws of Bangladesh and, where services are rendered or legal obligations apply, relevant United States federal and state law, without giving effect to rules that would require application of another jurisdiction's law. The appropriate forum and any engagement-specific dispute procedure may be stated in an engagement letter.
If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any applicable engagement or booking terms form the relevant agreement for Website use.
10. Changes and contact
We may revise these Terms as services or obligations change. The date above identifies the current version. Material changes may also be communicated through the Website, portal, or email. Continued use after an updated version takes effect means you accept the revised Terms.
